The route
Company first, or certificate first
Since 1 March 2026 a foreign investor can register the company first and obtain the Investment Registration Certificate within 12 months, or obtain the certificate first. The project cannot start until it is issued. A company owned by Vietnamese nationals does not need one.

Government registration fees are small, and the annual business licence fee was abolished from January 2026. Most of the cost is the setup firm's fee and preparing documents. See typical costs below.

How to open a business in Vietnam
The steps are much the same for most founders:
- Choose the legal form and check whether your business lines are open to foreign investors.
- Secure a registered address and prepare the investor's documents. A foreign company's corporate documents must be consularly legalised.
- Apply for the enterprise registration certificate and, for a foreign investor, the investment registration certificate, in either order.
- Open an investment capital account and pay in the charter capital within 90 days of the enterprise registration certificate. A company seal is optional.
- The enterprise code is also the tax code. Register to use e-invoices, then obtain any sector licences.

Ask what the fee includes and what is billed separately, who deals with the registration office, and what happens after registration: tax registration, accounting and sector licences are where new companies most often fall behind.
