This article provides a foundational overview intended for informational purposes only. For specific legal advice, businesses should consult licensed professionals familiar with Vietnam’s jurisdiction and regulatory nuances.

As Vietnam continues to position itself as a major economic hub in Southeast Asia, its legal framework has undergone significant modernization to support both domestic growth and foreign investment. For entrepreneurs, investors, and service providers, understanding the country’s legal environment is no longer optional—it is a strategic advantage.

Vietnam operates under a civil law system, heavily influenced by socialist legal traditions and increasingly aligned with international standards through trade agreements such as the CPTPP and EVFTA.

This hybrid structure creates a dynamic but sometimes complex regulatory environment, particularly for foreign-owned businesses navigating licensing, compliance, and operational requirements.

In recent years, the government has prioritized administrative reform, digitalization, and transparency. Processes such as business registration, tax filing, and licensing have been streamlined, but inconsistencies can still arise depending on the province or authority involved. This makes local expertise—whether legal, accounting, or administrative—critical for smooth market entry and long-term compliance.

Key areas of focus for businesses include:

    • Foreign ownership restrictions in certain sectors
    • Licensing requirements for conditional industries
    • Labor laws and employment contracts
    • Tax compliance and reporting standards
    • Data protection and cybersecurity regulations

While the regulatory landscape can appear fragmented, it also presents opportunities. Companies that invest early in understanding the legal system—and build relationships with qualified local advisors—are often better positioned to scale efficiently and avoid costly missteps.

    Frequently asked questions

Several core laws were replaced or amended. The Law on Enterprises was amended by Law 76/2025/QH15 (in force 1 July 2025, adding beneficial ownership rules), a new Investment Law 143/2025/QH15 took effect on 1 March 2026, and a new Law on Tax Administration 108/2025/QH15 took effect on 1 July 2026. Enterprise registration is now governed by Decree 168/2025/ND-CP, and further amendments continue to be passed, so older guidance may be out of date.

Several things. The business license fee was abolished from 1 January 2026 under Resolution 198/2025/QH15, the new Law on Tax Administration 108/2025/QH15 took effect on 1 July 2026, and Corporate Income Tax Law 67/2025/QH15 applies from the 2025 tax period. Personal Income Tax Law 109/2025/QH15 applies to residents' salary and business income from 1 January 2026, and Law 09/2026/QH16 raised the revenue threshold below which household businesses pay no VAT or PIT to VND 1 billion.

The Ministry of Finance. Under Resolution 176/2025/QH15, the Ministry of Planning and Investment was merged into the Ministry of Finance in 2025, and the General Department of Taxation became the Tax Department under the same ministry. Resolution 09/2026/QH16 kept a government of 14 ministries and 3 ministerial-level agencies for the current National Assembly term, with the Ministry of Finance among them.

    34. Resolution 202/2025/QH15 reorganized the country into 34 provincial-level units with effect from 12 June 2025, and the district level of local government was abolished from 1 July 2025, leaving a two-tier system of provinces and communes or wards. Familiar names such as District 1 are still used informally, but they are no longer administrative units.

Not always. Vietnam's accession to the Apostille Convention took effect on 11 September 2026, and under Decree 293/2026/ND-CP a public document from a member country that carries a valid apostille can be used in Vietnam without consular legalization. Documents from non-member countries, or from countries without an Apostille relationship with Vietnam, still need legalization, and a notarized Vietnamese translation may still be required.

Yes. The Law on Personal Data Protection 91/2025/QH15 took effect on 1 January 2026 and is detailed by Decree 356/2025/ND-CP. Administrative fines for personal data violations, such as processing personal data without valid consent, are set by Decree 330/2026/ND-CP, which has been in force since 19 August 2026 and applies to both Vietnamese and foreign organizations.

The Law on Cybersecurity 116/2025/QH15, in force since 1 July 2026. It replaced both the 2018 Law on Cybersecurity and the 2015 Law on Network Information Security. Administrative fines for cybersecurity and personal data protection violations are set by Decree 330/2026/ND-CP, effective 19 August 2026.

Yes. The Law on Artificial Intelligence 134/2025/QH15 was passed on 10 December 2025 and took effect on 1 March 2026, apart from certain provisions set out in its Article 35. It regulates the research, development, provision, deployment and use of AI systems in Vietnam, and organizations running AI systems that were already operating before that date must meet transition requirements.
